Firm Description
Invesco European RR L.P. (“IRRF-Euro”) was formed in 2017, by Invesco Senior Secured Management, Inc. (“ISSM”), a registered investment adviser, in order to facilitate compliance with the requirements of the EU Risk Retention Requirements and the U.S. Risk Retention Rules (to the extent applicable) with respect to the collateralized loan obligation transactions (“CLOs”). ISSM is the sole member of Invesco EU RR Associates LLC, the general partner of IRRF-Euro. ISSM is directly owned by Invesco Advisers, Inc. Invesco Group Services, Inc. is the sole owner of Invesco Advisers, Inc. and Invesco Ltd. is the ultimate parent company. Invesco Ltd. is a publicly owned company whose shares are listed on the New York Stock Exchange under the symbol, “IVZ”. IVZ is a leading independent global investment management firm dedicated to helping investors worldwide achieve their financial objectives.
Types of Advisory Services
IRRF-Euro provides investment advisory services to privately placed investment funds, primarily as a collateral manager to collateralized loan obligations (“CLOs”) and warehouse financing facilities in order to ramp up investments in an CLO (a “Warehouse Facility,” together with CLOs, “Clients”). IRRF-Euro’s services generally consist of (i) acting as a CLO manager of CLO transactions and related warehouse facilities; (ii) facilitating compliance with applicable Risk Retention Rules; and (iii) providing first-loss in connection with warehouse facilities entered into by IRRF-Euro. The Clients invest in public and private debt instruments, primarily floating rate corporate loans and corporate bonds.
Client Restrictions
Investment advice is provided directly to the Clients and not individually to the investors in the Clients. IRRF-Euro manages each Client in accordance with its investment objectives, strategies, restrictions and guidelines, and does not tailor its management to the individualized needs of any particular investor in such Client. Therefore, investors in a Client must consider whether the CLO meets their investment objective and risk tolerance prior to investing. Each of the Clients for which IRRF-Euro provides investment advisory services may impose limitations on the types of securities and other instruments in which each Client may invest. In particular, each CLO for which IRRF-Euro provides investment advisory services is governed by an indenture that places significant restrictions on the types of securities and other instruments that may be purchased on behalf of the CLO. Information about each Client advised by IRRF-Euro is contained in its organizational or offering documents, advisory agreements and/or side letter agreements negotiated with investors in the applicable Client (such documents collectively, a Client’s “Organizational Documents”).
Assets Under Management
As of December 31, 2019, IRRF-Euro managed $1,357,786,287 in regulatory assets on a discretionary basis and did not manage any assets on a non-discretionary basis. please register to get more info
